Terms of Use.

These Terms of Use (the “Terms”) govern your access to and use of the websites, web applications, demos, downloads, APIs, and other online services made available by InterScripts, Inc., its affiliates, and its subsidiaries (collectively, “InterScripts,” “we,” “us,” or “our”), including the website at interscripts.com (the “Site”) and the BytePad product pages, capability statements, and demo environments referenced from the Site (together, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization.

The Services are intended for business and professional use by individuals who are at least 18 years old and legally able to enter into binding contracts. The Services are not directed to children under 16, and we do not knowingly collect personal information from children. If you believe a child has provided us with personal information, please contact us so we can delete it.

Subject to your continued compliance with these Terms, InterScripts grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal evaluation and informational purposes.

Demo accounts, sandbox environments, and any preview or beta features are provided for evaluation only, may be limited or modified at any time, and may not be used in production or for processing real personal data, protected health information (PHI), or other regulated data without a separate written agreement.

You agree not to, and not to attempt to:

• access or use the Services in violation of any applicable law, regulation, or contract;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of any part of the Services, except to the extent applicable law expressly prohibits this restriction;
• copy, modify, adapt, translate, create derivative works of, sell, lease, license, sublicense, or otherwise commercially exploit the Services or any content obtained from the Services, except as expressly permitted;
• interfere with or disrupt the Services, including by introducing malware, conducting unauthorized scans or load testing, or circumventing rate limits, captchas, or other protective measures;
• scrape, crawl, harvest, or otherwise collect content or data from the Services by automated means without our prior written consent;
• upload or transmit content that is unlawful, harmful, threatening, defamatory, infringing, obscene, harassing, or otherwise objectionable;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• use the Services to develop a competing product, to benchmark against our offerings, or to train a machine-learning or AI model, in each case without our prior written consent.

The Services, including all software, content, designs, graphics, text, illustrations, logos, audio and video clips, and the selection and arrangement thereof, are owned by InterScripts or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 03, no rights, title, or interest in or to the Services are transferred to you. All rights not expressly granted are reserved.

“InterScripts,” “BytePad,” the InterScripts logo, and other InterScripts brand identifiers are trademarks or registered trademarks of InterScripts, Inc. Other names, logos, and marks referenced on the Services are the property of their respective owners and are used for identification purposes only. You may not use any InterScripts mark without our prior written consent.

If you submit ideas, comments, suggestions, recommendations, or other feedback regarding the Services (“Feedback”), you grant InterScripts a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate the Feedback into any product or service, with no obligation to attribute or compensate you. You represent that you have all rights necessary to grant this license and that the Feedback is not confidential to any third party.

The Services may contain links to third-party websites, services, or content that we do not own or control. We provide these links and references as a convenience only and do not endorse, monitor, or assume responsibility for the content, privacy practices, or policies of any third party. Your interactions with any third party are solely between you and that third party.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INTERSCRIPTS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS OR HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INTERSCRIPTS, ITS AFFILIATES, OR ITS OR THEIR LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT INTERSCRIPTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL INTERSCRIPTS' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

You agree to defend, indemnify, and hold harmless InterScripts and its affiliates, and its and their officers, directors, employees, agents, licensors, and suppliers (collectively, the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another, including any intellectual property, privacy, or confidentiality right; and (d) any content you submit, post, or transmit through the Services. InterScripts reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate in asserting any available defenses.

The Services and any related software and documentation are “commercial items” as defined in FAR 2.101, consisting of “commercial computer software” and “commercial computer software documentation,” as such terms are used in FAR 12.212 and DFARS 227.7202. Consistent with FAR 12.212 and DFARS 227.7202-1 through 227.7202-4, the Services are licensed to U.S. Government end users only as commercial items and with only those rights as are granted to all other end users pursuant to these Terms.

You may not access or use the Services in any jurisdiction or in any manner that is prohibited by U.S. export-control laws, including the Export Administration Regulations (EAR) and U.S. economic and trade sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You represent that you are not located in any country subject to comprehensive U.S. sanctions and are not on any U.S. government list of restricted parties.

InterScripts respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that content available through the Services infringes your copyright, you may submit a notice to our designated agent in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512). Notices must include the information required by the DMCA. Send notices to info@interscripts.com with the subject line “DMCA Notice.” We may, in appropriate circumstances and at our discretion, disable or terminate the accounts of users who are repeat infringers.

InterScripts may, at any time and without notice or liability, suspend, terminate, or restrict your access to the Services, or modify or discontinue the Services in whole or in part, for any reason or no reason. Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, intellectual property, and governing law) will survive.

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the Commonwealth of Virginia, U.S.A., without regard to its conflict-of-laws principles. Any action or proceeding will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and the parties consent to the personal jurisdiction and venue of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in this Section limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where appropriate, provide additional notice (for example, via the Site or by email). Your continued access to or use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

These Terms, together with our Privacy Policy and any written agreement between you and InterScripts, are the entire agreement between you and InterScripts concerning the Services and supersede all prior or contemporaneous understandings. If any provision is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. No waiver of any term will be deemed a further or continuing waiver of that term or any other term. You may not assign these Terms without our prior written consent; we may assign them freely. Section headings are for convenience only and do not affect interpretation.
